TERMS OF USE

Sigco is a technology service provider and does not perform regulated activities under the Financial Services and Markets Act 2000. Sigco provides technology services only and does not provide financial advice, investment management, brokerage services, or any regulated financial services. All trading decisions and risks remain your sole responsibility.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SIGCO SAAS PLATFORM. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICES.

1. INTERPRETATION AND DEFINITIONS
The headings in this Agreement are for convenience only and shall not affect its interpretation.
In this Agreement, unless the context otherwise requires, the following terms shall have the following meanings:
Agreement means these Terms of Use, together with the Privacy Policy, Cookie Policy, and any other documents expressly incorporated by reference.
Broker Account means any trading account you independently hold with a third-party broker or financial institution.
Master Account means the central trading account held by the Signal Provider. Sigco facilitates the technical processing of the Signal Provider’s instructions into trade activity on that account, which is then replicated to customers who link their accounts via the SaaS Platform.
Business Day means a day other than a Saturday, Sunday, or public holiday in England when banks in London are open for business.
Copier Function means the automated trade copying functionality provided through the SaaS Platform that allows you to replicate trades from the Signal Provider’s Master Account to your Broker Account.
Intellectual Property Rights means all patents, trademarks, service marks, trade names, domain names, copyrights, database rights, design rights (whether registered or unregistered), know-how, and other intellectual property rights, in each case whether registered or unregistered and including applications for registration, and all rights or forms of protection having equivalent or similar effect anywhere in the world.
SaaS Platform means the online software-as-a-service platform provided by Sigco, including all dashboards, client portals, copier functions, notifications, APIs, and related services.
Services means all products, services, content, features, technologies, and functions offered by Sigco via the SaaS Platform and associated applications.
Sigco Account means the account you have opened with us in accordance with the terms of this Agreement to access the Services.
Sigco Materials means any and all software, data, content, documentation, APIs, code, algorithms, and related Intellectual Property Rights provided by Sigco in connection with the Services.
Signal Provider means the person who submits trading signals to the platform. These signals are processed automatically to generate corresponding trade activity on a Master Account, which users may choose to replicate.
Signal Provider Dashboard means the interface used by the Signal Provider to send trading signals through the SaaS Platform.
References to “Sigco”, “we”, “us”, or “our” are references to Rezonic API Limited trading as Sigco.
References to “you” or “your” are references to the user of the Services.
A reference to a statute or statutory provision includes a reference to that statute or provision as amended, extended, or re-enacted from time to time.
Words in the singular shall include the plural and vice versa.
2. ABOUT Sigco AND HOW TO CONTACT US
Sigco is a trading name of Rezonic API Limited, incorporated in England and Wales with company number XXXXXX.
Our registered office is Delta House, Bridge Rd, Haywards Heath RH16 1UA
Sigco operates as a technology service provider and does not provide regulated financial advice, investment recommendations, brokerage services, or any other regulated financial services.
Sigco does not solicit, recruit, or engage in unsolicited marketing to encourage users to follow any particular Signal Provider or trading strategy.
You may contact us via the contact form on our website or by using the in-app support chat console. Our support team is available Monday to Friday, 9 a.m. to 5 p.m. UK time, and we aim to respond to all inquiries within 48 hours.
3. SCOPE AND APPLICATION OF THIS AGREEMENT
This Agreement sets out the terms and conditions on which we provide the Services to you. Please read this Agreement carefully before using the Services.
This Agreement incorporates by reference the following additional documents:
Our Privacy Policy, which sets out the terms on which we process any personal data we collect about you or that you provide to us. By using the Services, you consent to such processing and warrant that all data provided by you is accurate and complete.
Our Cookie Policy, which sets out information about cookies and similar technologies used on our Website.
Any future changes to features, functionality, or Services described on the SaaS Platform at the time you sign up are incorporated into this Agreement and form part of the terms on which the Services are provided. We will notify you of any material changes to this Agreement and any significant changes to the Services that may affect your use of the platform via the platform or email.
By accessing the SaaS Platform or using the Services, you confirm that you accept and agree to be bound by this Agreement (including all documents incorporated by reference). If you do not agree to this Agreement, you must not access or use the Services.
The most current version of this Agreement will always be available on our Website under "Terms of Use." We recommend that you review this Agreement periodically to ensure you remain aware of any changes.
4. THE SAAS PLATFORM AND SERVICES
4.1 Licence to Use
We grant you a non-exclusive, non-transferable, revocable licence to use the SaaS Platform and Services subject to your compliance with this Agreement. We do not sell the SaaS Platform to you. Sigco remains the owner of the SaaS Platform and all Sigco Materials at all times.
All rights not expressly granted to you in this Agreement are reserved by Sigco and its licensors. This license is granted only to you, the individual account holder, and is non-transferable.
4.2 Description of Services
The SaaS Platform provides the following functionality:
Access to the Signal Provider’s Master Account, where trading signals are processed to generate corresponding trade activity, which is made available for replication to your linked Broker Account via the Copier Function. The Signal Provider may have paid Sigco to set up this service; this commercial arrangement does not constitute an endorsement by Sigco of the Signal Provider’s strategy, ability, or performance.
The ability to connect your own Broker Accounts to the SaaS Platform and use the Copier Function to automatically replicate trades if you choose to do so.
Control over the Copier Function via an on/off switch, with configurable equity management and risk management rules.
Dashboards, notifications, and APIs for monitoring and managing your use of the Services.
Sigco does not provide trading strategies, investment advice, recommendations, or broker services. Sigco does not manage, hold, or have access to your funds. All trading decisions and the selection of brokers are entirely your responsibility.
You are strongly encouraged to use a demo account to learn how to replicate trades, manage positions, and evaluate risk before using the Copier Function with live funds.
You are not required to follow the Signal Provider’s activities. You may use any trading strategy, broker, or approach of your choice. The Services do not influence, recommend, or determine any investment decision.
The Signal Provider Dashboard is customised to the Signal Provider’s own strategy and does not constitute a recommendation for use with live funds.
4.3 Third-Party Services and Systems
The operation of the SaaS Platform relies on third-party services and infrastructure, including but not limited to cloud hosting providers, DNS and networking services, payment processors, virtual private server (VPS) environments, trade-copying and synchronization infrastructure, messaging services (such as Telegram), trading platform software (including MetaTrader 5), third-party brokers, customer support systems, and your own hardware, internet connection, and operating environment.
Sigco has no control over third-party services and does not guarantee their availability, performance, security, or reliability. Sigco is not responsible for any failures, delays, trade replication discrepancies, errors, data loss, or service interruptions arising from such services or systems.Pricing, slippage, spreads, liquidity conditions, and order handling are determined by your broker or liquidity provider and are outside Sigco’s control.
Sigco may receive commissions, referral fees, or other compensation from third-party brokers, VPS providers, payment processors, or other service providers when you access or use such services. This disclosure is provided for transparency only and does not constitute a recommendation, endorsement, or guarantee of the quality, suitability, or reliability of any third-party service.
4.4 Important Disclaimers Regarding the Signal Provider
Signal Providers are independent third parties, and Sigco does not vet, approve, audit, endorse, rank, assess, or validate any Signal Provider, trading strategy, performance history, or suitability. Signal Providers act independently and are not agents, representatives, or employees of Sigco.
The Signal Provider may have paid Sigco to establish the technical infrastructure for translating their trading instructions into trades on a Master Account and then distributing those trades for replication. This commercial arrangement is purely for technical facilitation and does not imply any endorsement by Sigco of the Signal Provider’s strategy, skill, track record, or future performance.
Sigco has not recruited you to follow this Signal Provider and does not engage in unsolicited marketing or recruitment activities.
Replicated trading activity may contain delays, inaccuracies, or errors, including but not limited to those resulting from human error, dashboard malfunction, internet connectivity issues, or third-party messaging service failures (such as Telegram). Sigco is not liable for any loss, including missed profits, resulting from such delays, inaccuracies, or errors.
Telegram and other third-party messaging services are outside Sigco's control. Sigco has no liability for message delivery, content errors, delays, or inaccuracies from such services.
Use of the copier function is entirely optional. Sigco does not guarantee the accurate placement of trades, profitability, avoidance of losses, or correct interpretation of the Signal Provider’s signals nor the replicated trading activity. You are solely responsible for monitoring all trades, managing your account, and making all trading decisions.
4.5 Data We Hold and Do Not Hold
Sigco does not hold, store, or have access to:
Your funds or financial assets;
Your Broker Account login credentials or passwords;
Regulated trading account information; or
Complete trade history, balances, open positions, or other broker account data (this information remains with your broker or third-party trading platform).
Sigco may store and process metadata necessary to operate the SaaS Platform, including but not limited to copier settings, dashboard preferences, account configuration, and usage analytics.
You remain solely responsible for maintaining and securing your Broker Account and for keeping your own records of all trades, balances, and transactions.
Sigco disclaims all liability for any loss, error, discrepancy, or damage arising from data held on your Broker Account or third-party trading platform.
4.6 Sigco's Role as Software Provider Only
Sigco is a Technology Service Provider Only. Sigco provides software infrastructure that facilitates the placement and replication of a signal provider’s trades on a Master Account and enables users to replicate those trades. Sigco is not a broker, financial advisor, investment manager, or trading educator. Sigco does not provide trading strategies, investment recommendations, or broker recommendations of any kind.
No Recruitment or Solicitation. Sigco does not recruit, solicit, or encourage users to follow any particular Signal Provider, use any particular broker, or adopt any particular trading strategy. You are solely responsible for all decisions regarding whether to use the Services, which Signal Provider (if any) to follow, which broker to use, and which trading strategies to employ.
Broker Selection is Entirely Your Choice. Sigco does not recommend, endorse, or make any representation regarding the suitability, reliability, or quality of any broker. The choice of broker is entirely yours. You are solely responsible for selecting a broker, evaluating the broker's terms and conditions, assessing the broker's regulatory status, and ensuring that the broker is suitable for your needs.
No Control Over or Responsibility for Signal Provider Communities. Signal Providers may operate their own communities, groups, channels, or forums (including but not limited to Telegram groups, Discord servers, private chat groups, social media pages, or other communication platforms) outside of the Sigco platform. Sigco has no control over, does not monitor, and is not responsible for any content, communications, representations, promises, claims, or activities within such communities.
No Liability for Third-Party Representations or Promises. Any statements, promises, guarantees, performance claims, trading results, testimonials, marketing materials, promotional content, or other representations made by Signal Providers or third parties (whether in community groups, on social media, in private communications, or elsewhere) are not made by Sigco and do not reflect Sigco's views or endorsements. Sigco is not responsible for and disclaims all liability arising from any such representations, whether accurate or inaccurate, whether made negligently or fraudulently.
You Must Conduct Your Own Due Diligence. You are solely responsible for conducting your own research, investigation, and due diligence before deciding to follow any Signal Provider, use any broker, or rely on any information provided by any third party. You should independently verify all claims, evaluate all risks, and seek independent professional advice where appropriate.
Sigco Does Not Verify Signal Provider Claims or Performance. Sigco does not verify, audit, or independently confirm any trading performance, track record, experience, credentials, or other claims made by any Signal Provider. Any performance data, statistics, or results displayed on the platform or elsewhere may be provided by the Signal Provider and may not be independently verified. Past performance is not indicative of future results.
Commercial Relationship Disclosure. Signal Providers may have paid Sigco a fee to utilize the platform’s infrastructure to facilitate the replication of their trades. This is a purely commercial, technology service relationship. The payment of fees by a Signal Provider to Sigco does not constitute an endorsement, recommendation, approval, or validation of the Signal Provider’s ability, strategy, performance, or suitability.
No Endorsement of Brokers. If the platform displays, links to, or integrates with third-party brokers or broker services, such display, linking, or integration does not constitute a recommendation, endorsement, or guarantee of the broker's quality, reliability, regulatory status, or suitability. Sigco may receive commissions or referral fees from brokers (as disclosed elsewhere in this Agreement), but such commercial arrangements do not constitute endorsements.
Your Independent Responsibility. You acknowledge and agree that you are using the Services as an independent user making your own decisions. You are not relying on Sigco for advice, recommendations, or guidance of any kind. All decisions regarding trading, broker selection, risk management, and use of the platform are made by you independently and at your own risk.
All Services are provided on a self-directed basis. Users independently decide whether to follow any Signal Provider, whether to activate the Copier Function, and how to configure all risk and equity settings. Sigco does not provide discretionary management, portfolio management, investment advice, or trade recommendations. Trade replication occurs through automated technical processes configured and controlled by the user. Sigco does not exercise discretion, control trading decisions, manage trading activity, or place trades on your behalf.
4.7 Beta Features and Early Access Services
From time to time, Sigco may offer features, tools, integrations, or functionality designated as beta, early access, experimental, pilot, or similar (collectively, “Beta Features”).
Beta Features are provided for testing, evaluation, and feedback purposes and may be incomplete, unstable, or subject to errors, interruptions, or performance limitations.
You acknowledge and agree that;
Beta Features may be modified, suspended, or discontinued at any time without notice;
Beta Features may not perform as intended and may contain bugs or inaccuracies;
Beta Features may not be supported, maintained, or updated.
Sigco makes no representations or warranties regarding the reliability, availability, or performance of Beta Features.
Beta Features are provided on an “as-is” and “as-available” basis and may be subject to additional limitations or reduced functionality.
To the maximum extent permitted by law, Sigco shall have no liability arising from or relating to your use of Beta Features.
Your use of any Beta Feature is entirely voluntary and at your own risk.
4.8 Demo Accounts and Simulated Environments
Sigco strongly recommends that users test the Services using a demo or simulated trading account before using live funds.
You acknowledge and agree that:
Demo trading conditions may differ materially from live market conditions;
Execution speeds, spreads, slippage, liquidity, and latency may vary in live trading environments;
Trade replication behaviour in demo accounts may not match live broker environments;
Performance observed in demo environments is not indicative of live trading results.
Sigco makes no representation that demo performance will match live trading outcomes.
You are solely responsible for determining when you are sufficiently familiar with the SaaS Platform and the Signal Provider’s trading approach before using it with live funds.
5. ELIGIBILITY AND USER OBLIGATIONS
If you are using the Services on behalf of a business, company, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.
You confirm and warrant that opening a Sigco Account and using the Services does not violate any law, regulation, or legal restriction applicable to you or your jurisdiction.
You are solely responsible for ensuring that your use of the SaaS Platform and the Copier Function is lawful and permitted in your country of residence, domicile, or the jurisdiction from which you access the Services. Sigco is not liable for any illegal, prohibited, or unauthorized use in any jurisdiction. It is your sole responsibility to verify that your use of the SaaS Platform complies with all applicable laws and regulations in your jurisdiction before using the Services. Sigco makes no representation that the Services are appropriate, permitted, or available for use in all jurisdictions.
You are solely responsible for compliance with all applicable legal and regulatory obligations, including but not limited to taxation, anti-money laundering requirements, and securities laws.
You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Services. By accessing the Services, you represent and warrant that you meet this age requirement.
6. YOUR Sigco ACCOUNT
Your Sigco Account is an online account that allows you to access the Services with a single login. All activity conducted through your Sigco Account is recorded and attributed to you.
You are fully and solely responsible for all activity conducted in your Sigco Account, including all copier settings, risk management rules, trade replication activity, and any other actions taken through your account.
Certain limits, restrictions, or requirements (including age restrictions, verification checks, or geographical limitations) may apply depending on your country of residence, applicable law, or Sigco's internal policies.
You must not allow any other person to access, operate, or use your Sigco Account without prior written consent from Sigco. You are liable for all activity conducted through your account, whether or not authorized by you.
7. ACCOUNT REGISTRATION AND SECURITY
To use the Services, you must open a Sigco Account by providing accurate, complete, and current information as prompted during the registration process.
All information you provide must be truthful, accurate, and kept up to date. You must promptly update your account information if any details change. Sigco is not responsible for any loss, error, or damage resulting from incorrect, incomplete, or outdated information.
All activities conducted under your Sigco Account are conclusively deemed to have been carried out by you personally, and you accept full responsibility for such activities.
You must:
Keep your password secure, confidential, and unique to your Sigco Account;
Secure the email account associated with your Sigco Account;
Immediately change your password and notify Sigco if you suspect that your account has been compromised or accessed without authorization.
You must not:
Disclose your login credentials to any third party;
Allow any other person to access your account without Sigco's prior written permission;
Use browser caching, password managers, or computer settings that automatically store or retain your login credentials in an insecure manner.
If you suspect that your account has been compromised, you must change your password immediately and notify Sigco without delay. Sigco is not liable for any loss or damage arising from your failure to comply with this requirement or from any delay in reporting a suspected breach.
8. MONITORING AND ACCOUNT MAINTENANCE
You are responsible for actively and regularly monitoring all trades, account balances, and all activity related to your use of the Services. You must also ensure that you understand and maintain your copier settings, risk management rules, and all other platform settings.
Sigco does not monitor your account on your behalf. You are solely responsible for ensuring that copied trades operate as intended, that copier settings are appropriate, and that all account activity is authorized.
Sigco is not liable for any loss arising from missed trades, trade replication discrepancies, latency or connectivity interruptions, system failures, incorrect settings, or any other issue that could have been identified or prevented through diligent monitoring.
Signal Providers operate under additional Terms of Use, which govern their conduct and marketing. Sigco does not control or verify the signals they provide; following a Signal Provider is entirely at your own risk.
If you are unable to access the SaaS Platform or disable the Copier Function due to connectivity issues, login difficulties, or service disruption, you remain responsible for monitoring and managing your Broker Account directly. In such circumstances, you should consider taking appropriate action to manage risk, which may include monitoring and managing positions directly through your broker platform or restricting account access where necessary to prevent further trade replication. This may include changing your broker account password or disabling automated access to prevent further trade replication.
9. FEES, SUBSCRIPTIONS, AND PAYMENTS
9.1 Subscription Fees
To access the Services, you must pay the applicable subscription fees as displayed on the SaaS Platform at the time of sign-up.
Subscription fees are billed on the cycle you select (monthly, quarterly, or annual) and may be set to renew automatically unless you cancel your subscription in advance of the renewal date.
You are solely responsible for maintaining up-to-date and valid payment details. If payment cannot be processed, your account may be suspended or terminated.
9.2 Account Setup Fee
A one-time account setup fee is payable when you create your Sigco Account. This fee is non-refundable except as expressly provided in clause 9.5 below.
If you cancel your subscription before it starts or during any trial period (if offered), the setup fee may be refunded at Sigco's sole and absolute discretion.
9.3 Non-Payment and Account Suspension
If subscription fees or any other amounts due are not paid when due, Sigco may suspend, restrict, or disconnect your account without prior notice.
You acknowledge and agree that any impact on your trading activity, trade replication, copier performance, or account functionality resulting from suspension or disconnection for non-payment is entirely your responsibility. Sigco is not liable for any losses, missed trades, or missed profits arising from such suspension or disconnection.
9.4 Trial or Demo Periods
If Sigco offers a trial or demo period, access to the Services during such period is subject to the same terms and conditions set out in this Agreement, including provisions regarding account setup fees and suspension for non-payment.
9.5 Refunds and Bonuses
Except as expressly provided in clause 9.2 regarding account setup fees, all subscription payments, fees, and other charges are non-refundable.
Any bonuses, credits, promotional offers, or discounts provided by Sigco are subject to specific terms and conditions and may be withdrawn, modified, or cancelled at Sigco's sole discretion.
9.6 Taxes and Regulatory Fees
You are solely responsible for any and all applicable taxes, duties, levies, or regulatory fees associated with your subscription, use of the Services, or trading activity.
9.7 Third-Party Commissions
Sigco may receive commissions, referral fees, or other forms of compensation from third-party brokers, VPS providers, or other service providers when you access or use such services through links or integrations provided by Sigco. This disclosure is provided for transparency and does not constitute a recommendation, endorsement, or guarantee of any kind.
10. CLOSING YOUR Sigco ACCOUNT
You may close your Sigco Account at any time by following the account closure procedure on the SaaS Platform or by contacting Sigco.
Subscription fees already paid are non-refundable. Closure of your account does not entitle you to any refund or pro-rata adjustment of fees.
You must ensure that all relevant data, trade history, settings, and other information are downloaded or saved before closing your account. Sigco is not responsible for the loss of any data following account closure.
Your obligations under this Agreement (including indemnification, limitation of liability, and confidentiality obligations) survive the closure or termination of your account.
11. INTELLECTUAL PROPERTY RIGHTS
All Intellectual Property Rights in the SaaS Platform, Sigco Materials, and the Services (including all software, content, data, documentation, trademarks, logos, designs, and trade secrets) are and shall remain the exclusive property of Sigco and its licensors.
Subject to your compliance with this Agreement, you are granted a limited, non-exclusive, non-transferable, revocable licence to use the Sigco Materials solely for your personal, non-commercial use in connection with the Services.
You must not:
Copy, reproduce, distribute, sell, license, or otherwise exploit the Sigco Materials or any part of the Services;
Modify, adapt, translate, or create derivative works based on the Sigco Materials;
Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any software provided as part of the Services;
Remove, alter, or obscure any trademark, copyright notice, or other proprietary rights notice from the Sigco Materials.
Any unauthorized use of the Sigco Materials or infringement of Sigco's Intellectual Property Rights constitutes a material breach of this Agreement and may result in immediate termination of your licence and legal action.
12. LIMITATION OF LIABILITY AND DISCLAIMERS
12.1 No Liability for Trading Losses
Sigco is not liable for any trading losses, missed profits, missed trades, loss of opportunity, or any other financial loss arising from your use of the Services. Furthermore, Sigco is not liable for any outcomes resulting from your use of the Services, including but not limited to platform performance, third-party integrations, technical interruptions, or adverse market conditions impacting trade replication.
You acknowledge and agree that trading involves substantial risk of loss and that all trading decisions and their consequences are entirely your own responsibility.
12.2 Limitation of Liability for Breach
To the maximum extent permitted by law, Sigco's total liability to you for any and all claims arising out of or in connection with this Agreement, the Services, or your use of the SaaS Platform, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total amount of fees you have paid to Sigco in the 12 months immediately preceding the event giving rise to the claim.
Nothing in this Agreement excludes or limits Sigco's liability for:
Death or personal injury caused by Sigco's negligence;
Fraud or fraudulent misrepresentation; or
Any other liability that cannot be excluded or limited by applicable law.
12.3 Exclusion of Indirect and Consequential Loss
To the maximum extent permitted by law, Sigco shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
Loss of profits, revenue, or business opportunities;
Loss of anticipated savings or benefits;
Loss of data, goodwill, or reputation;
Business interruption or downtime;
Any other indirect or consequential loss or damage.
This exclusion applies even if Sigco has been advised of the possibility of such damages.
12.4 No Liability for Third-Party Services
Sigco is not responsible or liable for:
Viruses, malware, cyberattacks, or other technological threats;
Failures, errors, delays, or interruptions caused by third-party services, including but not limited to Telegram, hosting providers, APIs, VPS providers, brokers, MetaTrader platforms, or other messaging or trading systems;
Your internet connection, computer hardware, operating system, or other equipment;
Errors, inaccuracies, or delays in trading signals sent by the Signal Provider;
Any action or omission by your broker or any third-party service provider.
12.5 User Responsibilities
You are solely responsible for:
Monitoring all trades, account balances, copier settings, and trading activity;
Configuring appropriate equity management and risk management rules;
Verifying the accuracy and completeness of all transactions and account activity;
Ensuring the security of your account, login credentials, and associated email account.
12.6 No Guarantee of Service Availability
Sigco does not guarantee that the Services will be uninterrupted, timely, secure, or error-free. Services may be suspended or unavailable due to maintenance, security measures, infrastructure issues, or third-party service disruptions.
Sigco does not provide any service level commitments, uptime guarantees, execution guarantees, or minimum availability thresholds unless expressly agreed in a separate written agreement signed by Sigco. No service level agreement (SLA) is created by this Agreement.
12.7 "As-Is" and "As Available" Basis
The Services are provided on an "as-is" and "as available" basis. To the maximum extent permitted by law, Sigco makes no representations or warranties of any kind, whether express, implied, or statutory, including but not limited to:
Warranties of merchantability, fitness for a particular purpose, or non-infringement;
Warranties regarding the accuracy, reliability, or completeness of the Services or any content, data, or signals;
Warranties that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free;
Warranties that any defects or errors will be corrected;
Warranties regarding the profitability, performance, or results from using the Services.
13. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Sigco, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable legal fees and costs) arising out of or in connection with:
Your use or misuse of the Services;
Your breach of this Agreement or any applicable law, regulation, or third-party right;
Your trading activity, including any claims by brokers, regulators, or third parties;
Any content, data, or information you submit, upload, or transmit through the Services;
Any claim that your use of the Services infringes or violates the rights of any third party.
Sigco reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Sigco in asserting any available defenses.
14. ACCESS CONTROL, SUSPENSION, AND TERMINATION
14.1 Sigco's Right to Suspend or Terminate Access
Sigco may, at its sole and absolute discretion, suspend, restrict, disable, or terminate your access to your Sigco Account or any part of the Services at any time, for any reason or no reason, including but not limited to:
Suspected or actual breach of this Agreement;
Security concerns or suspected fraudulent activity;
Non-payment of fees or other amounts due;
Operational, legal, or regulatory requirements;
Misuse or abuse of the Services;
Any other reason deemed appropriate by Sigco in its sole discretion.
14.2 No Obligation to Reinstate
If your account is disabled, suspended, or terminated, Sigco has no obligation to reinstate, restore, or re-enable your access. The decision to restore access is entirely at Sigco's sole and absolute discretion.
14.3 No Liability for Impact on Trading
You acknowledge and agree that any impact on your trading activity, trade replication, copier performance, or account functionality resulting from suspension or disconnection for non-payment is entirely your responsibility. Sigco is not liable for any losses, missed trades, or missed profits arising from such suspension or disconnection.
Sigco is not liable for any losses, missed trades, missed profits, or any other damages resulting from suspension, restriction, termination, or withdrawal of access to your account or the Services.
14.4 Notification
Sigco may, but is not obligated to, attempt to notify you of any suspension, restriction, or termination of your account. Failure by Sigco to provide such notification does not affect Sigco's rights under this clause.
15. INFORMATION SECURITY AND ACCEPTABLE USE
You are responsible for configuring your information technology, computer programs, operating system, and platform to access the Services. You should use your own virus protection software and security measures.
You must not:
Misuse the Services by knowingly introducing viruses, trojans, worms, logic bombs, or other malicious or technologically harmful material;
Attempt to gain unauthorized access to the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services;
Attack the Services via a denial-of-service attack, distributed denial-of-service attack, or any other form of cyber-attack;
Use the Services for any unlawful, fraudulent, or harmful purpose.
Any breach of this clause may constitute a criminal offense under applicable law. Sigco will report any such breach to the relevant law enforcement authorities and will cooperate with those authorities by disclosing your identity. In the event of such a breach, your right to use the Services will cease immediately.
16. FORCE MAJEURE
Sigco shall not be liable or responsible for any failure or delay in the performance of its obligations under this Agreement arising from or attributable to events, circumstances, or causes beyond its reasonable control ("Force Majeure Event"), including but not limited to:
Acts of God, natural disasters, floods, earthquakes, storms, or extreme weather conditions;
War, terrorism, civil unrest, riots, or armed conflict;
Pandemics, epidemics, or public health emergencies;
Strikes, labor disputes, or industrial action;
Internet, telecommunications, or network failures or outages;
Cyberattacks, hacking, or denial-of-service attacks;
Governmental actions, laws, regulations, or restrictions;
Failure or interruption of third-party services, including but not limited to brokers, APIs, VPS providers, or messaging platforms;
Power failures, equipment failure, or other technical malfunctions.
If a Force Majeure Event occurs, Sigco's obligations under this Agreement shall be suspended for the duration of the Force Majeure Event. Sigco will use reasonable efforts to mitigate the effects of the Force Majeure Event and to resume performance as soon as reasonably practicable.
17. CHANGES TO THE SERVICES AND THIS AGREEMENT
17.1 Changes to Services
Sigco may, at its sole discretion, modify, suspend, discontinue, add, or remove any feature, functionality, or aspect of the Services at any time without prior notice or liability.
Continued use of the Services following any such change constitutes your acceptance of the modified Services.
Sigco may remove features, reduce functionality, discontinue integrations, or modify service tiers where reasonably necessary for operational, security, legal, or technical reasons without providing equivalent replacements.
17.2 Changes to This Agreement
Sigco may update, amend, or modify this Agreement at any time by posting a revised version on the Website. The updated Agreement will be effective immediately upon posting, or on such a later date as may be specified in the updated Agreement.
Your continued use of the Services following the posting of any changes constitutes your acceptance of such changes. If you do not agree to the updated Agreement, you must immediately cease using the Services and close your Sigco Account.
It is your responsibility to review this Agreement periodically to stay informed of any updates.
18. INDEPENDENT USER DECISION-MAKING AND NO ADVICE
You acknowledge and agree that you use the Services at your own risk and that all trading, investment, or account decisions are your sole responsibility.
Sigco does not provide investment advice, financial advice, tax advice, legal advice, or recommendations of any kind. Nothing in the Services, this Agreement, or any communication from Sigco shall be construed as advice or a recommendation to buy, sell, hold, or trade any financial instrument or to follow any particular strategy.
You should seek independent professional advice from a qualified financial advisor, tax advisor, or legal advisor before making any trading or investment decisions.
Sigco makes no representation or warranty regarding the suitability, profitability, accuracy, or reliability of any trading signals, strategies, or information provided through the Services.
You are solely responsible for determining whether the Services are suitable for your personal financial circumstances, investment objectives, level of experience, and risk tolerance.
You should seek independent financial advice if you are unsure whether the Services offered by Sigco are appropriate for you.
Nothing in this Agreement or the Services creates or shall be deemed to create any fiduciary, advisory, agency, partnership, or trust relationship between you and Sigco. Sigco acts solely as an independent technology provider.
19. TRADING RISK WARNINGS
WARNING: TRADING INVOLVES SUBSTANTIAL RISK OF LOSS. YOU SHOULD CAREFULLY CONSIDER WHETHER TRADING IS SUITABLE FOR YOU IN LIGHT OF YOUR FINANCIAL CIRCUMSTANCES, EXPERIENCE, AND RISK TOLERANCE.
Past Performance Is Not Indicative of Future Results. Historical trading performance, whether of the Signal Provider or any other party, does not guarantee or predict future performance. Past profits or losses do not ensure similar outcomes in the future.
Risk of Total Loss. Trading in financial instruments carries a high degree of risk. You may lose some or all of your invested capital. You should only trade with money you can afford to lose.
Leverage and Margin Risks. If you trade using leverage or margin, your losses can exceed your initial deposit. Small price movements can result in significant losses. You are responsible for monitoring and managing all margin requirements and positions.
Market Volatility Risks. Financial markets are subject to rapid and unpredictable price movements. Slippage, price gaps, and timing differences may occur, particularly during periods of high volatility, low liquidity, or market disruption. As a result, trades replicated to your account may be entered, filled, or closed at prices or times that differ from those on the Signal Provider’s master account. Sigco is not responsible for any losses resulting from market conditions, timing differences, or price variations.
No Guarantee of Profit. Sigco makes no representation, warranty, or guarantee that you will achieve any profit or avoid any loss by using the Services or replicating trading signals from any Signal Provider. All trading outcomes are uncertain and dependent on numerous factors beyond Sigco's control.
Copier Function Risks. The automated Copier Function does not eliminate risk. Technical failures, latency, incorrect settings, or errors in signal interpretation can result in unintended trades, missed trades, or losses. You remain solely responsible for monitoring and managing all automated trading activity. Automated trading may result in rapid, repeated, or cascading losses, particularly during periods of market volatility or when incorrect settings are applied.
Trade Replication Risks. Trade replication relies on synchronization technology and third-party infrastructure. Latencies, connectivity interruptions, processing delays, or system interruptions may result in price differences, partial fills, delayed entries or exits, or missed trades compared to the Signal Provider’s Master Account. Replicated trades may include stop-loss levels, take-profit levels, and other trade parameters originating from the Signal Provider’s Master Account. While copying remains active, closures or modifications on the Master Account may be reflected in replicated trades. Differences in timing, broker conditions, liquidity, pricing, or user adjustments may result in variations between the Master Account and replicated trades.
Suitability and Independent Assessment. You are solely responsible for determining whether trading and the use of the Services are suitable for your financial situation, investment objectives, and risk tolerance. You should seek independent professional advice before trading.
Regulatory and Tax Implications. Trading may have tax, legal, or regulatory implications in your jurisdiction. You are solely responsible for understanding and complying with all applicable laws and for any tax liabilities arising from your trading activity.
20. PROHIBITED ACTIVITIES
You must not use the Services for any unlawful, fraudulent, abusive, or harmful purpose. Without limiting the generality of the foregoing, you must not:
Engage in market manipulation, including wash trading, spoofing, layering, or any other practice designed to create false or misleading market activity;
Use the Services to facilitate or engage in insider trading or any other illegal trading activity;
Share, sell, transfer, or allow any third party to access your Sigco Account or login credentials;
Create multiple accounts to circumvent restrictions, abuse promotions, or engage in fraudulent activity;
Use any automated system, bot, script, or scraper to access, extract, or collect data from the Services without Sigco's prior written consent;
Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any software or algorithm provided as part of the Services;
Interfere with or disrupt the integrity, security, or performance of the Services, or attempt to gain unauthorized access to any part of the Services or related systems;
Use the Services to transmit, distribute, or store any viruses, malware, or other malicious code;
Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
Use the Services in any manner that violates any applicable law, regulation, or third-party right, including intellectual property rights, privacy rights, or anti-money laundering laws;
Circumvent or attempt to circumvent any security measures, access controls, or usage limits imposed by Sigco;
Use the Services for high-frequency trading, arbitrage strategies, or any other activity that places excessive load on the platform infrastructure without Sigco's prior written approval.
Any violation of this clause constitutes a material breach of this Agreement and may result in immediate suspension or termination of your account, forfeiture of fees, and legal action. Sigco reserves the right to report any illegal activity to law enforcement authorities.
21. DISPUTE RESOLUTION AND ARBITRATION
21.1 Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement or the Services ("Dispute") informally by contacting Sigco and providing a detailed description of the Dispute.
Sigco will attempt to resolve the Dispute in good faith within 30 days of receiving your notice. If the Dispute cannot be resolved informally, either party may proceed to arbitration or litigation as provided below.
21.2 Binding Arbitration
If informal resolution is unsuccessful, you agree that any Dispute shall be resolved by binding arbitration in accordance with the Arbitration Rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in London, United Kingdom, and the language of arbitration shall be English or such other arbitration rules as the parties may agree.
The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if no agreement can be reached, appointed in accordance with the applicable arbitration rules. The seat of arbitration shall be xxxx, and the language of arbitration shall be English.
The arbitrator's decision shall be final and binding on both parties, and judgment on the award may be entered in any court of competent jurisdiction.
21.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST Sigco.
21.4 Time Limitation on Claims
You agree that any claim or cause of action arising out of or related to this Agreement or the Services must be filed within one (1) year after the claim or cause of action arose, or such claim or cause of action shall be permanently barred.
21.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
22. DATA PROTECTION AND PRIVACY
22.1 Data Processing
Sigco collects, processes, and stores personal data in accordance with our Privacy Policy, which is incorporated into this Agreement by reference. By using the Services, you consent to such processing and warrant that all data provided is accurate.
Sigco processes personal data only to the extent necessary to provide the Services, comply with legal obligations, and for legitimate business purposes such as fraud prevention, security, and service improvement.
22.2 Data Retention
Sigco will retain your personal data for as long as your account is active and for a period of up to seven (7) years following account closure, or as required by applicable law, regulatory requirements, or to resolve disputes and enforce this Agreement.
After the retention period expires, Sigco will delete or anonymize your personal data in accordance with our data retention policy and applicable law.
22.3 Data Subject Rights (GDPR and Applicable Law)
If you are located in the European Union, United Kingdom, or another jurisdiction with data protection laws, you may have certain rights regarding your personal data, including:
The right to access your personal data;
The right to rectify inaccurate or incomplete data;
The right to request deletion of your data (subject to legal retention requirements);
The right to restrict or object to certain processing activities;
The right to data portability;
The right to withdraw consent (where processing is based on consent);
The right to lodge a complaint with a supervisory authority.
To exercise any of these rights, please contact us using the contact details provided in this Agreement. We will respond to your request within the timeframes required by applicable law.
22.4 Cross-Border Data Transfers
Your personal data may be transferred to, stored, and processed in countries outside your country of residence, including countries that may not provide the same level of data protection as your home country. By using the Services, you consent to such transfers.
Where required by law, Sigco will implement appropriate safeguards (such as Standard Contractual Clauses) to protect your data during cross-border transfers.
22.5 Data Breach Notification
In the event of a data breach that is likely to result in a risk to your rights and freedoms, Sigco will notify you and any applicable supervisory authorities in accordance with applicable data protection laws.
23. CONSUMER RIGHTS AND COOLING-OFF PERIOD
23.1 EU/UK Consumer Rights
If you are a consumer located in the European Union or United Kingdom, you may have certain rights under applicable consumer protection laws, including the Consumer Rights Act 2015 (UK) and the Consumer Rights Directive (EU).
23.2 14-Day Cooling-Off Period (EU/UK Only)
If you are a consumer in the EU or UK, you have the right to cancel your subscription within 14 days of signing up without giving any reason (the "Cooling-Off Period").
To exercise your right to cancel, you must inform Sigco of your decision by sending a clear statement via the Contact form on our Website, or via our Support channel.
If you cancel within the Cooling-Off Period, Sigco will refund all payments received from you, including the account setup fee (if applicable), within 14 days of receiving your cancellation notice.
Loss of Cooling-Off Period. Once live trading functionality has been activated, the Services are deemed to have commenced and your right to cancel during the Cooling-Off Period will be lost.
23.3 Non-EU/UK Users
If you are not located in the EU or UK, the cooling-off period and consumer rights provisions in this section may not apply to you. Refunds and cancellations will be governed by the general terms of this Agreement.
24. SANCTIONS, EXPORT CONTROLS, AND RESTRICTED JURISDICTIONS
You represent and warrant that you are not:
A resident, national, or entity organized under the laws of any country or jurisdiction subject to comprehensive sanctions or embargoes imposed by the United Nations, the European Union, the United States (including OFAC sanctions), or any other applicable authority;
A person or entity listed on any sanctions list, including but not limited to the U.S. Specially Designated Nationals (SDN) List, the EU Consolidated List, or the UK Sanctions List;
Otherwise prohibited from accessing or using the Services under applicable sanctions, export control, or anti-money laundering laws.
Sigco reserves the right to restrict or prohibit access to the Services from certain jurisdictions at its sole discretion. Currently, the Services are not available to residents or entities in the following jurisdictions (this list may be updated from time to time):
Countries subject to comprehensive sanctions, including but not limited to: North Korea, Iran, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions of Ukraine;
Any other jurisdiction where the provision of the Services would violate applicable law or Sigco's policies.
If Sigco determines that you are accessing the Services from a prohibited jurisdiction or that you are a sanctioned person or entity, Sigco may immediately suspend or terminate your account without notice and without liability.
You agree to comply with all applicable export control laws and regulations, including restrictions on the export or re-export of software, technology, or data.
25. ACCOUNT DORMANCY AND INACTIVITY
If your Sigco Account remains inactive (i.e., you do not log in or use the Services) for a continuous period of 12 months or more, Sigco may classify your account as dormant.
Sigco may, at its discretion:
Suspend or restrict access to your dormant account;
Close your dormant account after providing reasonable notice to your registered email address;
Delete data associated with dormant accounts in accordance with our data retention policy.
Sigco does not currently charge dormancy fees, but reserves the right to introduce such fees in the future with reasonable notice.
If you wish to reactivate a dormant account, you must contact Sigco. Reactivation is subject to Sigco's approval and may require identity verification or other conditions.
26. MARKETING AND PROMOTIONAL COMMUNICATIONS
By creating a Sigco Account, you consent to receiving transactional and service-related communications from Sigco, including account and payment-related notifications, security alerts, updates to this Agreement, and other essential information necessary for the operation of your account.
Sigco may also send you marketing and promotional communications (including newsletters, product updates, and special offers) if you have consented to receive such communications during registration or at any other time.
You may opt out of receiving marketing communications at any time by:
Clicking the "unsubscribe" link in any marketing email;
Adjusting your communication preferences in your Sigco Account settings (where available); or
Contacting Sigco directly.
Please note that opting out of marketing communications will not affect transactional or service-related communications, which are necessary for the operation of your account.
Sigco does not sell your personal data. We do not share your personal data with third parties for their own marketing purposes without your explicit consent. However, we may share personal data with trusted third-party service providers where necessary to operate the Services, including payment processors, trade replication infrastructure providers, hosting providers, and customer support systems. Such processing is limited to service delivery and operational purposes.
27. VERIFICATION AND KNOW YOUR CUSTOMER (KYC)
Sigco reserves the right to request identity verification documents and other information from you at any time to comply with applicable anti-money laundering (AML), counter-terrorist financing (CTF), or other legal or regulatory requirements, or for security and fraud prevention purposes.
You agree to provide accurate, complete, and current information promptly upon request. Failure to provide requested information may result in suspension, restriction, or termination of your account.
Sigco may use third-party service providers to verify your identity and may share your information with such providers as necessary to complete verification.
If Sigco reasonably suspects fraudulent, suspicious, or illegal activity, Sigco may suspend your account, refuse to process transactions, and report such activity to relevant authorities without prior notice to you.
28. TERMS FOR SIGNAL PROVIDERS
Signal Providers act as independent third parties. Sigco does not control, supervise, or direct the trading strategies, decisions, or communications of Signal Providers. Signal Providers are solely responsible for the signals they generate and distribute.
Signal Providers must comply with all applicable laws, regulations, and licensing requirements in relation to their provision of trading signals. Sigco does not assume any responsibility for the legal compliance of a Signal Provider’s activities.
Sigco may, at its sole discretion, suspend, restrict, or terminate a Signal Provider’s access to the platform or trade replication services for any reason, including but not limited to operational, legal, or regulatory requirements. Sigco is not liable for any consequences arising from such suspension, restriction, or termination.
Signal Providers must not:
Represent, imply, or suggest that Sigco provides investment advice, trading recommendations, discretionary management, automated decision-making, or guarantees of profit;
Market Sigco’s services as discretionary, fully automated decision-making, or as a substitute for independent trading judgement;
Use Sigco’s name, branding, or platform in any way that is misleading or could misrepresent the nature, role, or limitations of the Services;
Encourage customers to follow specific trades or strategies in a manner that implies endorsement, supervision, or control by Sigco;
Make performance claims, profit projections, or risk-free statements in connection with Sigco or the Services.
Signal Providers remain solely responsible for the accuracy and legality of their marketing, communications, and representations. Sigco reserves the right to suspend or terminate a Signal Provider’s access for any violation of these requirements.
29. GENERAL PROVISIONS
29.1 Entire Agreement
This Agreement (together with the documents expressly incorporated by reference) constitutes the entire agreement between you and Sigco regarding the Services and supersedes all prior agreements, understandings, representations, and warranties, whether written or oral, relating to the subject matter of this Agreement.
29.2 Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from this Agreement and shall not affect the validity, legality, or enforceability of the remaining provisions, which shall remain in full force and effect.
29.3 Waiver
No failure or delay by Sigco in exercising any right, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
29.4 Assignment
You may not assign, transfer, or delegate any of your rights or obligations under this Agreement without Sigco's prior written consent. Sigco may assign, transfer, or delegate any of its rights or obligations under this Agreement without your consent.
29.5 Third-Party Rights
This Agreement does not confer any rights or benefits on any third party (whether under the Contracts (Rights of Third Parties) Act 1999 or otherwise) and no third party shall have any right to enforce any provision of this Agreement.
29.6 Governing Law and Jurisdiction
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter.
29.7 Survival
The provisions of this Agreement that by their nature should survive termination or expiration (including but not limited to provisions relating to limitation of liability, indemnification, intellectual property, confidentiality, dispute resolution, and data protection) shall survive the termination or expiration of this Agreement.
29.8 Notices
Any notice or other communication required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, sent by email, or posted on the Website.
Notices to you may be sent to the email address associated with your Sigco Account. You are responsible for ensuring that your email address is accurate and up to date.
